BOD MEETING NOTES

Meeting Date:  May 4, 2006  6:30pm

Attendees:  Steven Brodeur, Richard Schechter, Emily Resta, Ramona Fiumara, Fr. Jerry  McGrath, Sandra Cuccia

Minutes:

  • Review of previous meeting minutes (April 3, 2006) waived.  All future meeting agendas will incorporate topics from the prior meeting.

  • BOD voted to immediately remove Judith Stern from her position as secretary.  Ms. Stern’s mismanagement of priorities and resources (both past and present) have led to the benign neglect of Capistrano property requiring an emergency intervention in order to rescue and restore the landscaping and irrigation system. Ms. Stern continues to derail all efforts for a smooth and timely transition of responsibilities to the new board members demonstrated by her unwillingness to attend important BOD meetings and her refusal to provide board access to certain vendor contracts, financial documents, and the Capistrano reserve account.  Further, the BOD is very uncomfortable with Ms. Stern’s unresolved and very messy legal battle at Colonial Manor West where she currently serves as President.  It was also noted that several of the complaint’s filed against Ms. Stern by a Colonial West homeowner parallel the same issues now surfacing here at Capistrano.   Rich Schechter will immediately assume all responsibilities as secretary.

  • A discussion ensued pertaining to the accuracy and reliability of Capistrano’s financial position and projected 2006 budget.   It was unanimously decided that a complete audit of Capistrano’s financial records prior to April 1, 2006, was absolutely necessary and in the best interest of all Capistrano homeowners. 

  • Reviewed special assessment procedures.  It was decided to re-post notice for special assessments.  These assessments will include a re-posting for the painting project and a new posting for the subterranean termite treatment assessment. 

  • Discussed options for the retrieval and turnover of remaining financial documents and contracts and gaining access to Capistrano Reserve Account.  BOD has decided to take necessary action to complete turnover.

  • Reviewed Capistrano Rules and Regulations (Exhibit E) #12, pertaining to the requirement to provide the HOA with key for emergency access purposes.  Reiterated that all unit owners are required to have a key on file with the HOA.

  • A roof repair status was not made available by former president and out-going secretary, Judith Stern.  Therefore, we were unable to determine the extent of the damages, anticipated timing of repairs, and the potential financial impact to our community.  As a result of several unanswered requests for this information, the new president will be taking over this project.  A thorough update will be prepared for the June BOD meeting.

  • BOD confirmed that sprinklers were returned to pre-Katrina working condition.  Future needs will be evaluated once landscaping recovery efforts have been achieved.

  • Following immediate repair of sprinklers, BOD completed initial clean-up and restoration of Capistrano grounds.  Regular monthly service will occur twice each month.

  • BOD has taken over pest control contracts from former secretary Judith Stern. Previously neglected termite control issues that now require immediate action are being addressed.  Estimates have been obtained and funding will be discussed at future assessment meeting (see above).  Once funding is established service will proceed immediately.

  • BOD reviewed insurance premium issues and budget.  Discussion centered on anticipated future increases.  It was also noted that the current State Farm Building and Liability insurance expenses were not accurately portrayed in the 2006 budget proposed by Judith Stern.  Budget will be restored to reflect future insurance expenses as soon as final windstorm information is available.

  • Confirmed that BOD meetings will be held on the first Thursday of each month.

  • Discussed the need to appoint various committee heads.  Dialogue will be continued at future meetings.

  • Hurricane preparedness issues were not discussed due to time restraints and will be covered at our next board meeting.
