COMMUNITY ASSOCIATION LEADERSHIP LOBBY (CALL) RETAINER AGREEMENT

(For Communities With 50 Units or Less)

This Retainer Agreement, shall be effective commencing on 2005 and ending on December 31, 2005.

This Agreement may be renewed for additional one year periods, AT THE ELECTION OF THE CLIENT, by remittance of the Annual Retainer Fee for the ensuing calendar year period. The Firm, in writing, will announce the billing rate effective during the renewal period(s) each November preceding the renewal period(s).

        In consideration of the payment of the sum of One Hundred Twenty Five ($125.00)

Dollars, the Firm hereby agrees to provide the Association with the following services:

            1 .    Periodic newsletters keeping the Association informed of new case decisions, legislation and/or other matters affecting the Association's operation.

2.     Advanced notice of and registration preference for educational conferences and workshops sponsored by the Firm.

3.          Membership in the Firm's Community Association Leadership Lobby ("CALL").  A special website has been created and will be accessible only to our retainer clients.  This website will track Florida legislation that will significantly impact our Association clients.  There will also be periodic updates throughout the legislative session as well as alerts when certain community participation is required to pass or defeat certain legislation.  Retainer clients will also have access to an online chat session with our lobbyists.  There is no guarantee of a particular outcome or the passage or defeat of a particular piece of legislation.

The scope of the services being offered is expressly limited and agreed to be limited to that expressed hereinabove, and that the parties agree and acknowledge that the Firm is NOT serving as legal counsel to the Association and under no duty to provide the Association with legal counsel of any nature.  The Association is under no obligation to utilize the Firm for any services other than the three services enumerated above.  If the Association desires any legal services, other than the three services enumerated above, including, but not limited to, assessment collection, covenant enforcement, legal opinion letters or amendments to the governing documents, the Association may engage the Firm to perform same pursuant to the terms and provisions of Becker & Poliakoff's standard collection and enforcement retainer agreements.

In connection with CALL membership, the undersigned officer of the Association hereby represents and certifies it will not disseminate its password to log on to the website to other communities, will not copy or download the copyrighted material without first obtaining the approval of the Firm, and will not actively oppose any legislative vehicle that CALL is supporting.

Assuming the terms of the foregoing Retainer Agreement meet with your approval and contain our full understanding and agreement, signify same by signing below where indicated and returning one original of this Retainer, along with your check, to my attention.
